1. Agreement to Terms

By accessing or using the services provided by Scope & Scale ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms apply to all visitors, users, and clients who access or use our lead generation, AI appointment setting, and marketing services.

2. Services Description

Scope & Scale provides digital marketing and lead generation services specifically designed for contractors, including but not limited to:

• Meta (Facebook/Instagram) advertising campaign management
• AI-powered appointment setting and lead qualification
• CRM integration and lead management
• Performance reporting and analytics

3. Client Obligations

As a client of Scope & Scale, you agree to:

• Provide accurate and complete information about your business
• Maintain all necessary licenses and permits for your contracting business
• Respond to qualified leads in a timely manner
• Not use our services for any unlawful purpose
• Pay all fees as agreed upon in your service agreement
• Provide feedback and cooperation necessary for campaign optimization

4. Payment Terms

Payment terms are specified in your individual service agreement. Generally:

• Fees are due as specified in your service agreement
• Late payments may result in service suspension
• All fees are non-refundable unless otherwise specified
• Ad spend is billed separately from service fees

5. Performance Guarantees

Our 20-Project Guarantee is subject to the following conditions:

• Client must maintain agreed-upon minimum ad spend
• Client must respond to leads within 24 hours
• Client must attend scheduled appointments
• Guarantee terms are detailed in your specific service agreement

6. Intellectual Property

All content, strategies, methodologies, and materials developed by Scope & Scale remain our intellectual property. Clients receive a license to use campaign materials specifically created for their business during the term of service.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes business strategies, lead data, campaign performance metrics, and any other sensitive information.

8. Limitation of Liability

To the maximum extent permitted by law, Scope & Scale shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities. Our total liability shall not exceed the fees paid by you in the three months preceding the claim.

9. Termination

Either party may terminate the service agreement with 30 days written notice. We reserve the right to terminate services immediately if:

• You breach these Terms or your service agreement
• You fail to make required payments
• Your business engages in unlawful activities

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
